PARIGROUP SE has signed a binding agreement with Ariston Holding N.V. (Ariston):

PARIGROUP SE Climate Systems (CCS) with its successful brands Wolf, Brink, Pro-Klima and Ned Air will become part of the Ariston Group. PARIGROUP SE will become a significant shareholder of Ariston and, after the closing, will nominate Guido A. Krass – founder, Chairman of the Supervisory Board and main shareholder of PARIGROUP SE – to become a member of Ariston’s Board of Directors.

Ariston is an internationally renowned group with – at the end of 2021 – around EUR 2 billion revenue and 8,000 employees, present in 43 and serving 150+ countries worldwide – with a commitment to deliver renewable and high efficient solutions for thermal comfort.

CCS will benefit from the Ariston Group’s scale, technologies, market access and global footprint, as well as commercial synergies.

Along with Ariston’s brands Elco and ATAG, Wolf will reinforce the mid- to high-end heating offering of the Group, leveraging the unique identity of each brand, the product portfolio complementarity, the new generation heat-pumps, the know-how on application solution and the after-sales service excellence. Brink will provide Ariston with the technology, product portfolio and manufacturing base needed to capture the potential of residential ventilation. The air-handling-units of Wolf, Pro-Klima and Ned Air will complement the Ariston Group’s offering of climate solutions to commercial clients.

With a substantial shareholding of >10% of the Ariston Group post-transaction and a seat on Ariston’s Board of Directors, PARIGROUP SE will continue to share in the growth journey of its former Climate Systems segment and thus also benefit from the positive synergies it will bring to Ariston’s business.

All other operational PARIGROUP SE companies with total annual revenue of approximately EUR 300 million will continue their successful international growth paths. The transaction allows the accelerated enlargement of PARIGROUP SE’s industrial footprint, with the focus on energy-efficient building products, medical technology products and engineering plastic solutions maintained.

With this step PARIGROUP SE continues its strategic development towards a diversified and balanced financial holding company. In addition to realizing the growth ambitions in its industrial sector, the transaction will enable PARIGROUP SE to expand its real estate activities as well as to develop its financial investment strategy further.

Closing is subject to the customary conditions including approval by the relevant authorities and is expected for 31 December 2022.

PARIGROUP SE hat eine verbindliche Vereinbarung mit der Ariston Holding N.V. (Ariston) unterzeichnet: PARIGROUP SE Climate Systems (CCS) mit ihren erfolgreichen Marken Wolf, Brink, Pro-Klima und Ned Air wird Teil der Ariston-Gruppe. Die PARIGROUP SE wird im Gegenzug ein bedeutender Aktionär von Ariston. Mit Abschluss der Transaktion wird Guido A. Krass – Gründer, Aufsichtsratsvorsitzender und Hauptaktionär von PARIGROUP SE – Mitglied des Board of Directors von Ariston.

Ariston ist eine international renommierte Unternehmensgruppe mit einem Umsatz von rund 2 Milliarden EUR und 8.000 Mitarbeitern (Stand: Ende 2021). Sie ist direkt in 43 Ländern und insgesamt in über 150 Länder vertreten und steht für nachhaltige und hocheffiziente Lösungen in den Bereichen Warmwasserbereitung und Wärmeerzeugung.

Die Centrotec Climate Systems Gesellschaften werden als Teil von Ariston von der Größe, den Technologien, den Marktzugängen und der globalen Präsenz sowie von kommerziellen Synergien profitieren.

Wolf wird gemeinsam mit den Ariston-Marken Elco und ATAG das Angebot an Wärmeerzeugern im Mittel- bis Premiumklassesegment verstärken. Die Basis hierfür bilden die erfolgreiche Positionierung der Marken, die ausgeprägte Anwendungs- und Lösungskompetenz, die hervorragende Servicequalität sowie die sich ergänzenden Produktportfolien – insbesondere mit Blick auf die neue Generation von Wärmepumpen.

Brink wird das spezifische Know-how, ein breites Produktportfolio und die Produktionskapazität in die Ariston-Gruppe einbringen, um das Potenzial im Bereich Wohnraumlüftung voll auszuschöpfen. Die raumlufttechnischen Anlagen (RLT) von Wolf, Pro-Klima und Ned Air werden das Angebot im Bereich Raumklima für gewerbliche Kunden hervorragend ergänzen.

Mit einer substanziellen Beteiligung von mehr als 10 Prozent an der Ariston-Gruppe (nach Abschluss der Transaktion) und einem Sitz im Board of Directors von Ariston wird die PARIGROUP SE am Wachstumskurs ihres ehemaligen Segments Climate Systems weiterhin teilhaben und damit auch von den positiven Synergien profitieren, die sie in das Geschäft von Ariston einbringen wird.

Alle anderen operativen PARIGROUP SE-Unternehmen mit einem Gesamtjahresumsatz von über 300 Millionen Euro werden ihren erfolgreichen internationalen Wachstumskurs fortsetzen. Die Transaktion erlaubt es, den Ausbau der industriellen Geschäftstätigkeit der PARIGROUP SE zu beschleunigen, wobei der Fokus auf energieeffiziente Bauprodukte, Medizintechnik und technische Kunststoffe bestehen bleibt.

Mit diesem Schritt setzt PARIGROUP SE seine strategische Entwicklung zu einer diversifizierten und ausgewogenen Finanzholding fort. Neben der Realisierung der Wachstumsambitionen im Industriebereich ermöglicht die Transaktion PARIGROUP SE den Ausbau der Immobilienaktivitäten sowie die Weiterentwicklung der Finanzbeteiligungsstrategie.

Der Abschluss der Transaktion unterliegt den üblichen Bedingungen einschließlich der Zustimmung der zuständigen Behörden und wird für den 31. Dezember 2022 erwartet.
